Research Use Agreement

NOTICE: This Research Use Agreement ("Agreement") is a legally binding contract between you and Virtus Labs LLC. By placing an order or completing a purchase, you are acknowledging that you have read, understood, and agree to be bound by every provision of this Agreement. If you do not agree, do not proceed.

01 — Parties

This Agreement is entered into between Virtus Labs LLC, a Wyoming limited liability company ("Virtus Peptides"), and the purchasing individual or entity ("Researcher" or "you"). This Agreement is effective upon completion of any purchase from Virtus Labs LLC.

02 — Research Use Only — Absolute Restriction

All compounds sold by Virtus Labs LLC are supplied exclusively as Research Use Only (RUO) materials. You expressly and irrevocably agree and certify that:

  • You will use all purchased compounds exclusively for legitimate in-vitro laboratory research, forensic analysis, or other qualifying non-human research applications
  • You will not administer any compound to any human being under any circumstances, including yourself
  • You will not administer any compound to any animal except under a properly authorized, IACUC-approved research protocol
  • You will not resell, distribute, or transfer any compound to any person for the purpose of human use, self-administration, or any non-research purpose
  • You will not represent any Virtus Labs LLC compound as a drug, medicine, supplement, or therapeutic agent to any third party

03 — Researcher Qualifications

By purchasing, you represent and warrant that you:

  • Are at least 21 years of age
  • Possess the necessary scientific knowledge, training, and laboratory facilities to safely handle, store, and use research-grade chemical compounds
  • Will comply with all applicable local, state, and federal laws governing the purchase, possession, storage, and use of the compounds
  • Are not purchasing compounds for resale, human use, or any purpose inconsistent with legitimate scientific research
  • Understand that the compounds are not approved by the U.S. Food and Drug Administration (FDA) and have not been proven safe or effective for any medical or therapeutic purpose

04 — Compliance with Laws

You are solely responsible for ensuring full compliance with all applicable federal, state, and local laws, regulations, and ordinances governing the purchase, importation, possession, handling, storage, and use of research compounds. This includes but is not limited to FDA regulations, DEA controlled substance regulations, state pharmacy laws, and any applicable export control regulations.

Virtus Labs LLC makes no representations regarding the legality of purchasing or possessing any compound in any particular jurisdiction. It is your responsibility to determine whether any purchase is lawful in your jurisdiction before placing an order.

05 — Handling and Storage

You agree to handle and store all compounds in accordance with proper laboratory safety standards and in compliance with all applicable regulations. This includes:

  • Storing compounds at recommended temperatures and conditions as indicated on the product label and Certificate of Analysis
  • Using appropriate personal protective equipment (PPE) when handling compounds
  • Disposing of compounds in accordance with all applicable environmental and chemical waste regulations
  • Keeping compounds in a secure location accessible only to authorized research personnel

06 — No Medical or Clinical Advice

Nothing on the Virtus Labs LLC website, in product descriptions, in Certificates of Analysis, or in any other communication from Virtus Labs LLC constitutes medical advice, clinical guidance, or a recommendation for human use. All scientific information provided is for research reference purposes only. You should not rely on any information from Virtus Labs LLC to make medical, health, or treatment decisions.

07 — Export Control

You agree to comply with all applicable U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and any applicable sanctions programs. You will not export or re-export any compound to any country, entity, or person prohibited by U.S. law.

08 — Patent Compliance

The sale of compounds by Virtus Labs LLC does not grant any license under any patent. You are solely responsible for ensuring that your use of any compound does not infringe upon any third-party patent rights.

09 — Assumption of Risk

You expressly acknowledge and assume all risks associated with the purchase, handling, storage, and use of Virtus Labs LLC compounds. Research compounds may be hazardous if handled improperly. Virtus Labs LLC shall not be liable for any injury, illness, damage, or loss arising from your use or misuse of any compound.

10 — Indemnification

You agree to indemnify, defend, and hold harmless Virtus Labs LLC and its officers, members, employees, and agents from any and all claims, damages, losses, liabilities, costs, and expenses — including reasonable attorneys' fees — arising from: (a) your breach of this Agreement; (b) your use or misuse of any compound; (c) your violation of any applicable law; or (d) any third-party claims arising from your actions.

11 — Entire Agreement

This Research Use Agreement, together with the Virtus Labs LLC Terms of Service and Privacy Policy, constitutes the entire agreement between you and Virtus Labs LLC with respect to the subject matter herein. This Agreement supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
